Terms of Service

By accessing nuxari.com or using any Nuxari service, you agree to be bound by these Terms of Service ("Terms") and ourPrivacy Policy. If you do not agree, do not use our website or services.

If you are using Nuxari on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and"you" refers to both you individually and the organization.

Nuxari provides an operations automation and governance platform that helps organizations manage identity lifecycle, access governance, remediation workflows, and audit evidence collection. The platform includes web-based access, API integrations, Edge Agent software, and supporting tooling.

The nuxari.com website provides marketing and informational content, contact forms, and documentation. Access to the Nuxari platform itself is governed by a separate subscription or evaluation agreement between Nuxari and your organization.

You must be at least 18 years old and have the legal capacity to enter into a binding agreement to use Nuxari services. The platform is intended for use by organizations and their authorized personnel, not by individual consumers.

You may not use Nuxari services if you are located in a jurisdiction where doing so would violate applicable law, including export control and sanctions regulations.

Platform access is provisioned by Nuxari following execution of a subscription or evaluation agreement. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

You must notify Nuxari immediately athello@nuxari.comif you become aware of any unauthorized access to your account or credentials.

Each user account is personal to the individual to whom it is assigned. Account sharing is not permitted. Organizations may provision additional user seats under their subscription terms.

You agree not to use Nuxari services to:

• ·Violate any applicable law, regulation, or third-party right
• ·Gain unauthorized access to systems, networks, or data
• ·Introduce malicious code, malware, or disruptive content
• ·Circumvent or attempt to circumvent any security control in the platform
• ·Use the platform to process data in a manner that violates your own obligations to data subjects
• ·Reverse engineer, decompile, or attempt to extract source code from the platform
• ·Resell, sublicense, or transfer platform access without Nuxari's written consent
• ·Use automated means to scrape, crawl, or extract content from nuxari.com

Nuxari reserves the right to suspend or terminate access for any use that violates these terms, with or without notice, depending on severity.

Nuxari and its licensors own all intellectual property rights in the platform, website, documentation, and related materials, including software, design, trademarks, and content. These Terms do not transfer any ownership rights to you.

Subject to these Terms and any applicable subscription agreement, Nuxari grants you a limited, non-exclusive, non-transferable license to access and use the platform for your organization's internal governance operations during your subscription term.

You retain ownership of data you input into the platform. By using the platform, you grant Nuxari a limited license to process that data solely to provide the service as described in these Terms and any applicable data processing agreement.

Each party may receive confidential information from the other in connection with the platform. Each party agrees to protect the other's confidential information with at least the same degree of care it uses for its own confidential information, and not to disclose it to third parties without the disclosing party's prior written consent, except as required by law.

Confidentiality obligations survive termination of your use of the service for a period of three years, except for trade secrets which remain protected indefinitely.

THE NUXARI PLATFORM AND WEBSITE ARE PROVIDED"AS IS" AND"AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NUXARI EXPRESSLY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Nuxari does not warrant that the platform will be uninterrupted, error-free, or free of harmful components. Nuxari does not warrant that use of the platform will result in compliance with any specific regulatory framework, certification, or audit outcome. The platform supports governance workflows; it does not guarantee any particular compliance posture.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NUXARI SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, BUSINESS, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE PLATFORM OR WEBSITE, EVEN IF NUXARI HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NUXARI'S AGGREGATE LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF (A) THE FEES PAID BY YOU TO NUXARI IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

Some jurisdictions do not allow exclusion of certain warranties or limitations of liability. In those jurisdictions, Nuxari's liability is limited to the fullest extent permitted by law.

You agree to indemnify, defend, and hold harmless Nuxari, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising from your use of the platform, violation of these Terms, or violation of any third-party right.

Either party may terminate platform access in accordance with the applicable subscription agreement. Nuxari may suspend or terminate access to the website or platform immediately, without prior notice, for material violations of these Terms.

Upon termination, your license to use the platform ends. Provisions of these Terms that by their nature should survive, including intellectual property, disclaimers, limitation of liability, and indemnification, will survive termination.

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction in those courts.

If you are located in the European Union, mandatory consumer protection provisions of your local law may apply in addition to or in place of these terms to the extent required by applicable law.

We may update these Terms from time to time. We will update the"Last updated" date at the top of this page when we do. Material changes to terms that affect active platform subscribers will be communicated via email at least 30 days before they take effect. Continued use after changes take effect constitutes acceptance.

For website-only visitors without a platform subscription, continued use of nuxari.com after changes are posted constitutes acceptance of the revised terms.
